Hanover-based Utz Brands, the 105-year-old snack food company known for its potato chips, pretzels and cheese balls, has agreed to be acquired by Germany’s Intersnack Group in a deal valued at approximately $2.9 billion.
The companies announced Tuesday that Intersnack will purchase all outstanding Utz shares for $14.25 per share in cash. The transaction is expected to close during the fourth quarter of 2026, subject to customary regulatory approvals.
Founded in Hanover in 1921, Utz has grown from a small regional potato chip maker into one of the nation’s largest salty snack companies. In addition to its signature Utz brand, the company owns Zapp’s, Boulder Canyon, Dirty Potato Chips, Golden Flake and On the Border chips and dips.
The acquisition brings together two family-rooted snack manufacturers with largely complementary markets. Utz’s business is concentrated in the United States, particularly east of the Mississippi River, while Intersnack has an established presence throughout Europe and Oceania.
Company leaders said the combination is expected to strengthen both businesses by giving Intersnack a foothold in the U.S. market while creating opportunities to expand Utz brands internationally.
Utz Chief Executive Officer Howard Friedman said Intersnack shares the company’s long-term vision and that its manufacturing, marketing and technology expertise will help support future growth.
Dylan Lissette, chairman of the Utz Board of Directors, said Intersnack’s family heritage and focus on long-term investment made it a strong partner for the next chapter of the company’s history.
Utz reported approximately $1.4 billion in annual sales, while Intersnack generated about $5 billion in revenue in 2025 from a portfolio of roughly 30 snack brands.
The announcement marks a significant milestone for one of Pennsylvania’s best-known food manufacturers. Although ownership will shift overseas, company officials indicated the partnership is intended to build on Utz’s more than a century of history and continue investing in its brands, employees and the communities it serves.
Utz remains one of the largest employers in the Hanover area and has long been recognized as one of south-central Pennsylvania’s most iconic companies.
